Terms of Service for North Shore Audio Atelier

1. Introduction and Acceptance of Terms
These Terms of Service (the “Terms”) govern your access to and use of the services, facilities, website, communications, and related offerings provided by North Shore Audio Atelier, located at 2148 West 4th Avenue, Vancouver, BC V6K 1N6, Canada (“North Shore Audio Atelier,” “we,” “us,” or “our”).
By booking, purchasing, accessing, or using any service offered by North Shore Audio Atelier, you agree to be bound by these Terms and all applicable laws and regulations of Canada and the Province of British Columbia. If you do not agree to these Terms, you must not use our services.
If you are using our services on behalf of a business, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Scope of Services
North Shore Audio Atelier provides professional audio-studio services, which may include, without limitation:
- Music recording
- Mixing and mastering
- Voice-over recording
- Podcast production
- Audio editing and restoration
- Jingle and commercial audio production
The exact scope, deliverables, timelines, technical specifications, revision limits, and fees for each project will be set out in a booking confirmation, estimate, invoice, statement of work, email correspondence, or other written agreement between you and North Shore Audio Atelier.
We may refuse, suspend, or discontinue any project or service at our discretion where necessary for safety, legal compliance, studio availability, technical limitations, or breach of these Terms.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, current, and complete information when booking or communicating with us;
- Arrive on time for scheduled sessions and comply with studio rules, safety instructions, and reasonable directions from our staff;
- Ensure that any materials you provide, including audio files, scripts, lyrics, artwork, samples, and reference tracks, do not infringe the rights of any third party;
- Obtain all necessary permissions, licenses, consents, releases, and clearances for any content you supply or request us to use;
- Not bring illegal substances, weapons, hazardous materials, or unauthorized recording equipment into the studio;
- Not engage in abusive, disruptive, harassing, discriminatory, or unsafe conduct;
- Back up your own materials and maintain copies of all files you provide or receive, unless otherwise agreed in writing;
- Promptly review deliverables and provide feedback within any stated review period.
You are responsible for the legality, accuracy, and suitability of all content you submit or approve. North Shore Audio Atelier is not responsible for verifying ownership, clearance, or legal compliance of client-supplied content.
4. Payment Terms and Conditions
Fees are based on the applicable quote, rate card, package, or written agreement. Unless otherwise stated, all amounts are in Canadian dollars (CAD).
- A deposit or advance payment may be required to secure a booking or begin work.
- All invoices are payable by the due date stated on the invoice or booking confirmation.
- Late payments may result in suspension of services, delayed delivery, cancellation of bookings, and/or interest or administrative charges to the extent permitted by law.
- Any third-party costs, including session musicians, voice talent, licensing fees, file transfer charges, rush fees, or special equipment rentals, may be billed separately unless expressly included in writing.
- Taxes, including GST, PST, or other applicable taxes, will be added where required by law.
If a payment is reversed, disputed, or declined, you remain responsible for the full amount owed, plus any associated bank, processing, or collection costs to the extent permitted by law.
5. Cancellation and Refund Policy
Cancellations and rescheduling requests must be made in accordance with the booking terms provided at the time of reservation. Unless otherwise agreed in writing:
- Deposits are non-refundable, as they reserve studio time and resources.
- Late cancellations or no-shows may be charged in full or partially, depending on the notice provided and the nature of the booking.
- Rescheduling is subject to studio availability and may incur administrative or rebooking fees.
- Work already performed, including editing, mixing, mastering, preparation, consultation, or file handling, is non-refundable.
Refunds, if any, are issued only at our discretion or where required by applicable law. Dissatisfaction with creative style, subjective preferences, or client-approved work does not automatically entitle you to a refund.
If North Shore Audio Atelier must cancel a session due to unforeseen circumstances, we will use reasonable efforts to reschedule or provide a refund for the unused portion of prepaid fees, subject to applicable law and any non-recoverable third-party costs.
6. Liability Limitations
To the fullest extent permitted by applicable law, North Shore Audio Atelier, including its owners, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of opportunity, arising out of or relating to the services or these Terms.
To the fullest extent permitted by law, our total aggregate liability for any claim arising from or related to the services shall not exceed the amount paid by you to North Shore Audio Atelier for the specific service giving rise to the claim.
We are not responsible for:
- Client-supplied content, including its legality, quality, or accuracy;
- Third-party equipment, software, plugins, platforms, or file formats;
- Delays caused by incomplete materials, late approvals, or failure to provide instructions;
- Loss or corruption of files due to events beyond our reasonable control, except where caused by our gross negligence or wilful misconduct;
- Any claims arising from unauthorized use of copyrighted, trademarked, or otherwise protected material supplied by you.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable obligations.
7. Intellectual Property Rights
Unless otherwise agreed in writing, all pre-existing intellectual property owned by North Shore Audio Atelier, including studio methods, templates, workflows, proprietary processes, and pre-existing materials, remains our property.
Subject to full payment of all applicable fees, and unless otherwise stated in a written agreement, you will receive the rights expressly granted to you in the final deliverables. Any transfer or assignment of copyright, master rights, or other intellectual property rights must be expressly stated in writing.
You represent and warrant that you own or have all necessary rights to any materials you provide to us and that our use of those materials for the purpose of performing the services will not infringe any third-party rights.
We may retain copies of project files, session notes, and deliverables for archival, quality assurance, dispute resolution, and business continuity purposes, subject to our retention practices and applicable law.
Unless you object in writing, you grant North Shore Audio Atelier a limited, non-exclusive, royalty-free license to use your name, project title, and non-confidential excerpts of completed work for portfolio, demo, marketing, and promotional purposes, provided such use does not disclose confidential information or violate any applicable agreement.
8. Data Protection and Privacy
North Shore Audio Atelier collects, uses, stores, and discloses personal information only as reasonably necessary to provide services, manage bookings, process payments, communicate with clients, maintain records, and comply with legal obligations.
We take reasonable administrative, technical, and physical safeguards to protect personal information against unauthorized access, loss, misuse, or disclosure. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
By using our services, you consent to the collection, use, and disclosure of your personal information in accordance with these Terms and our applicable privacy practices, as permitted by Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable British Columbia privacy requirements.
We may share personal information with service providers, payment processors, cloud storage providers, and other third parties only as needed to operate our business and deliver services, subject to appropriate confidentiality and security obligations where reasonable.
If you provide personal information about another person, you represent that you have the authority or consent required to do so.
9. Force Majeure
North Shore Audio Atelier shall not be liable for any delay, failure, or interruption in performance caused by events beyond our reasonable control, including but not limited to fire, flood, earthquake, severe weather, power outages, internet or telecommunications failures, labour disputes, government actions, public health emergencies, equipment failure, supply chain disruptions, or acts of God.
In the event of force majeure, we may suspend services, reschedule bookings, or extend delivery timelines without liability, provided we use reasonable efforts to resume performance as soon as practicable.
10. Changes to Terms
North Shore Audio Atelier may update or modify these Terms at any time by posting a revised version or otherwise notifying you. Changes will be effective on the date stated in the updated Terms unless a later date is specified.
Your continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of North Shore Audio Atelier shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Vancouver, British Columbia shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services, subject to any mandatory consumer protection rights or other non-waivable rights under applicable law.

13. Severability Clause
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
If any invalid or unenforceable provision can be modified to make it valid and enforceable while preserving its intent, it shall be deemed modified accordingly to the extent permitted by law.
